1. Scope
These terms and conditions apply to the use of Zeitcore and related services provided by Reflyne UG (haftungsbeschränkt). The services are offered exclusively to traders within the meaning of Section 14 of the German Civil Code (BGB).

3. Description of services
Zeitcore is a digital solution for recording, managing, and evaluating working hours and related status information. The specific scope of services is set out in the selected plan, an individual offer, or the applicable service description.
4. Registration and access credentials
Customers must provide complete and accurate information. Access credentials must be kept confidential and protected from unauthorised access. Actions performed through a user account are attributed to the customer to the extent the customer is responsible for them.
5. Contract formation, prices, and payment
A contract is formed when an offer is accepted or a paid plan is booked. Unless stated otherwise, prices are exclusive of statutory value added tax.
If an external payment service provider is used, its identity and any additional terms are clearly presented before a paid booking is made.
6. Customer obligations
Zeitcore may be used only in accordance with applicable law and the contractual agreement. Prohibited conduct includes, in particular, attempted attacks or overloading, infringement of third-party rights, and processing unlawful content.
The customer must ensure that the required legal bases, permissions, and workplace policies are in place for data provided, employee information, integrations, and NFC processes.
7. Availability and changes
Reflyne strives to maintain high availability. Maintenance, security updates, and disruptions affecting infrastructure or network providers may result in limitations. Features may be further developed provided that essential contractual obligations are not unreasonably affected.
8. Rights of use and data protection
For the term of the contract, the customer receives a non-exclusive, non-transferable right to use Zeitcore as agreed. Rights to the software, brand, design, and documentation remain with Reflyne or the respective rights holders.
Where Reflyne processes personal data on behalf of the customer, the parties will, where necessary, enter into a data processing agreement under Article 28 GDPR.
9. Liability
Reflyne is liable without limitation in cases of intent, gross negligence, or injury to life, body, or health. In cases of ordinary negligence, liability is limited, to the extent permitted by law, to breaches of material contractual obligations and the damage typically foreseeable in such cases.
10. Term and final provisions
The term, renewal, and termination are determined by the applicable plan or offer. The right to terminate for cause remains unaffected.
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Where legally permissible, the place of jurisdiction is Cologne. The remaining provisions remain effective if individual provisions are invalid.
